06-08-1998 Special Called Meeting PEACHTREE CITY AIRPORT AUTHORITY MINUTES OF MEETING June 8,1998 A special called meeting of the Peachtree City Airport Authority, was held in the Authority's offices at 1130 Echo Court, Peachtree City, on June 8,1998, at 7:00 p.m. Those present were: Chairman Robert B. Patterson; Members Daniel E. Carr, David M. Good, H.E. Buffington and Janet E. Wells; Airport Manager James H. Savage; Recording Secretary Shirley R. Comer; and Authority Attorney Douglas B. Wamer. OLD AGENDA ITEMS ,...., ~ ,* 98-06-01 Consider lease termination agreement with Stevens Aviation, Inc. 98-06-02 Consider le~se termination agreement with Hunting Aircraft, Inc. Chairman Patterson requested Mr. Savage to brief the Authority on the various documents presented for consideration. Those documents included: 1. "Agreement for Termination of Fixed Base Operator Lease", between the Authority and Stevens Aviation, Inc. 2. "Agreement to Convey Business Assets and Release Security Interest", between the Authority, Stevens Aviation, LLC, and Hunting Aircraft, Inc. 3. "Agreement for Termination of Lease", between the Authority and Hunting Aircraft, Inc. 4. "Agreement for Termination of Sublease", between Hunting Aircraft, Inc. and Stevens Aviation, LLC. ,....., , 5. "Acknowledgment and Waiver of Guarantor", between Stevens Aviation, Inc. and Hunting Aircraft, Inc. ; r~ 1 ~I , Mr. Savage explained that attorneys for both Stevens and Hunting had been working on the tinallanguage on documents 1, 4 and 5 above until late in the afternoon of the meeting day, and had delivered the tinished documents by courier just minutes before the meeting. After a review of the changes, and a determination made that no action by the Authority was needed on documents 4 and 5 above, a motion was made by Mr. Good and seconded by Mr. Carr to authorize the Chairman to sign the "Agreement for Termination of Fixed Base Operator Lease", the "Agreement to Convey Business Assets and Release Security Interest", and the "Agreement for Termination of Lease", as presented, in an expeditious manner, so that the Authority could regain control of its facilities and move forward. The motion passed unanimously. 98-06-04 Consider authorizing Airport Manager to hire employees, and to purchase equipment and supplies necessary to operate FBO. Chairman Patterson requested Mr. Savage to review the various documents that he had prepared for the Authority's consideration. Those documents are attached to these minutes and include: 1. Pay Option A-i. 2. FBO Capital Equipment and Project Needs - FY98 (Rev 6/2/98). 3. Fuel Discount Policies (6/1/98). 4. Operating budgets for the FBO and Airport Operations, plus a Projected Cash Flow and Bank Account Summary. After a lengthy discussi.on that included the pros and cons of the Authority operating the FBO, a motion was made by Mr. Good and seconded by Mr. Carr to authorize the Airport Manager and Chairman to operate the Fixed Base Operation at Peachtree City-Falcon Field, effective 0001 EDT, June 20, 1998, or as may be allowed by signing the documents outlined in the previous motion, and to accomplish that task, they be further authorized the following actions: ,- i r 1) Staff the operation as outlined in the document labeled "Pay Opt A-1," based on the job descriptions attached, except that a lead line service operator be scheduled for Sundays; 2) Purchase the capital equipment outlined in the document labeled "FBO Capital Equipment and Project Needs - FY98 (Rev 6/2/98)", items 2 through 4 inclusive; 2 ,-. . 3) Establish a fuel pricing and discount policy as described in the document labeled "Fuel Discount Policies (6/1/98)", as adjusted to reflect a pre-purchase. price for Jet-A fuel of $1.42 per gallon ,when buying a minimum of 7,500 gallons; and for Avgas, prices adjusted to reflect current retail prices of $1.98 per gallon, $1.88 per gallon price for based customers who pay with cash or Air BP credit cards, and a pre-purchase price of $1.74 per gallon, when buying a minimum of 1,000 gallons. All prices include sales tax. 4) Adopt the operating budgets for the FBO and Airport Operations, and the accompanying Projected Cash Flow and Bank Account Summaries, as presented, with the intent to review in two months. and, be it further moved, that prior to January 1, 1999, the Authority will review the operational history of the FBO to that date and will determine if it wishes to continue the operation or develop a "Request For Proposals" and solicit bidders for the operation.
